These Terms of Service (“Terms”) govern your access to and use of the GridPadel marketing and documentation website operated by Handoff Labs (“we”, “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Legal entity identifiers (Italy): VAT / Partita IVA IT04249920135; company registration CO-430913 with the Italian Chamber of Commerce Como–Lecco (as shown in the Site footer).
These Terms apply to the public HTML Site (for example landing pages, documentation, modals and forms). They do not replace the Envato Market licence terms that apply when you purchase the GridPadel WordPress theme on ThemeForest.
1. Eligibility and acceptable use
You may use the Site for lawful purposes only, including evaluating or purchasing the GridPadel product and obtaining documentation. You must not: (a) attempt unauthorised access to our or others’ systems; (b) scrape or harvest the Site at a scale that impairs service; (c) upload malware or abusive payloads through forms or chat; (d) misrepresent your identity or affiliation; (e) use the Site to violate applicable law or third-party rights.
2. Information you provide must be accurate
When you use the waitlist, customization quote form, installation request flow or chat, you agree that the information you supply is truthful to the best of your knowledge. For ThemeForest-related fields, you should use the email associated with your buyer account where we ask for it, so we can validate purchases or deliver services fairly.
3. Waitlist and marketing communications
Joining the waitlist is optional. If you subscribe, we may email you about GridPadel launches and related product news in line with the Privacy Policy. You can withdraw marketing consent at any time by contacting us or using unsubscribe instructions in future emails where provided.
4. Customization quotes
Submitting a quote request does not form a binding contract. Any work, price or timeline requires a separate written agreement between you and Handoff Labs (or its authorised contractor). We may decline projects that are unlawful, technically infeasible or outside our capacity.
5. Optional paid installation ($49 checkout)
If we offer a one-time installation service via Stripe Checkout on this Site: (a) price, currency and scope are as shown at checkout; (b) payment is processed by Stripe under Stripe’s terms and privacy policy; (c) delivery is subject to reasonable cooperation from you (hosting access, credentials, scheduling); (d) refund or chargeback requests are handled in accordance with applicable consumer law, Stripe rules and any written service terms we publish at purchase time. Envato’s marketplace refund rules apply to your theme licence purchase on ThemeForest, not necessarily to this separate installation service — check the checkout description.
6. Theme licensing (Envato / ThemeForest)
The GridPadel WordPress theme is sold on Envato Market. Your use of the theme files is governed by the Envato Market standard licence (Regular or Extended, according to your purchase) and applicable Envato terms. GPL v2 (or later) applies to WordPress-derived portions as described in the theme package. Envato is the marketplace operator; Handoff Labs is the item author for support and updates per Envato’s author rules.
Licence verification: Features such as updates or demo import may require verifying your purchase code via Envato’s API on your WordPress site, as disclosed in the product documentation. That verification is permitted by Envato policy when implemented as documented; do not circumvent it.
7. Support
Item support for the theme is provided through the ThemeForest item comments system and reasonable email channels, within Envato’s support policy and period for your purchase type. Support covers the sold product as described on ThemeForest; it does not guarantee unlimited customisation, hosting configuration on every provider, or compatibility with every third-party plugin.
8. Third-party services and links
The Site may link to or embed third parties (for example Stripe, support chat, font CDNs). Their terms and privacy policies apply in addition to ours. We do not control Envato’s, Stripe’s or Google’s platforms.
9. Intellectual property
“GridPadel”, the logo and original marketing content on the Site are owned by Handoff Labs or its licensors. Except where open-source licences apply to shipped theme code, you may not copy, modify or redistribute Site assets for competing products without permission.
10. Disclaimers
The Site and its content are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation. Demo content, screenshots and performance figures are illustrative.
11. Limitation of liability
To the maximum extent permitted by applicable law, Handoff Labs and its team shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, arising from your use of the Site or inability to use it.
Consumers: Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited in your jurisdiction (including statutory consumer rights in the EEA, UK or elsewhere). If mandatory law applies, our liability is limited to the minimum allowed remedy.
12. Indemnity
You agree to indemnify and hold harmless Handoff Labs from claims, damages or expenses (including reasonable legal fees) arising from your misuse of the Site, your violation of these Terms, or your violation of third-party rights, except where caused by our wilful misconduct.
13. Privacy
Our Privacy Policy and Cookie Policy are incorporated by reference where applicable. Cookie choices you make through the Site may be recorded on our servers as described in the Privacy Policy to evidence consent or refusal.
14. Governing law and disputes
These Terms are governed by the laws of Italy, without regard to conflict-of-law rules, subject to any mandatory consumer protections of the country where you are habitually resident (including, for consumers in the EEA or UK, rights under EU/UK consumer protection regulations that may not be waived by contract).
Unless mandatory law provides otherwise (for example the right to sue in your home courts for EU/UK consumers), you agree that the courts of Italy have jurisdiction over disputes arising from these Terms or the Site.
15. Force majeure
We are not liable for delay or failure to perform caused by events outside our reasonable control, including internet outages, hosting failures, strikes, natural disasters, war, civil unrest, pandemics, or changes in law or third-party platform rules (including Envato or Stripe policy changes).
16. Changes
We may update these Terms by posting a revised version on this page and updating the effective date. Continued use after changes constitutes acceptance unless applicable law requires a different process.
17. Severability and entire agreement
If any provision is held invalid, the remainder remains in effect. These Terms, together with the Privacy Policy and Cookie Policy where referenced, constitute the entire agreement between you and us regarding the Site (not your ThemeForest purchase, which is additionally governed by Envato).
